In accordance with the provisions of the Federal Law on the Protection of Personal Data Held by Private Parties, published in the Official Gazette of the Federation, as well as its Regulations and the corresponding Guidelines (collectively and hereinafter the Law); for the full compliance with the obligations arising therefrom, we extend and bring to your attention for all legal purposes to which it may apply, the following:

  1. Person Responsible for Collecting Personal Data.

The company B&B COMERCIO INTELIGENTE, S.A. DE C.V., through its legal representative, declares that under Mexican law it is a legally constituted company in the city of Guadalajara, Jalisco; under the faith and legality of Lic. Pedro Ruiz Higuera, who in turn declares that in the records of Public Notary No. 60 of the City of Guadalajara, the constitution of said company is recorded under Act 920 Book IV Volume 5, issued on June 10, 2015, forming the commercial concept hereinafter referred to as IBM FURNITURE.

Company located at: Calle Colima #232, Colonia El Mante, C.P. 45235, Zapopan, Jalisco, Mexico.

For the purposes of the provisions of section I of Article 16 of the Law, the commercial concept known as IBM FURNITURE assigns Ms. Grecia Romina Ponce Luna as the person in charge of personal data and its processing (in this act, as well as in past and/or future acts), a function that consists of collecting, managing, protecting, and storing the personal data of clients, prospects, distributors, and/or beneficiaries of any of its IBM FURNITURE products and/or services.

IBM FURNITURE indicates that for any matter related to the processing of personal data, it makes the following contact methods available:

  1. Processing of Personal Data.

In accordance with the provisions of the Law, the processing of personal data is considered to be the obtaining, use, disclosure, or storage of personal data, by any means. Use includes any action of accessing, handling, using, transferring, or disposing of personal data.

The processing of personal data by IBM FURNITURE will be limited to the fulfillment of the purposes of processing provided for in this Privacy Notice and will be subject to the following:

    1. In the event that it is intended to process your personal data for a purpose other than the purposes of this Privacy Notice, IBM FURNITURE will require your consent for such purpose.

  1. Purposes of Personal Data Processing

Through this Privacy Notice, IBM FURNITURE declares that the Primary Purposes of the processing of your personal data will be the following, which are necessary for the requested service:

    1. Commercial Purposes:
    • Prospecting, promotion, and commercialization, both in-person and/or online, of furniture and decorative accessories for homes, businesses, and offices, products that IBM FURNITURE commercially represents, carrying out and receiving economic charges in cash, as well as, on occasion, charges to the clients’ credit or bank accounts, as a result of IBM FURNITURE‘s commercial transactions.
    • Design, production, and/or manufacturing of exclusive furniture, including the following:
      1. Custom-designed furniture made with fine materials such as wood, cast iron, leather, metal, stone, and marble.
      2. Line furniture and decorative accessories for homes, businesses, and offices.
    • Processing and management of personal credits with government institutions and/or agencies, for the acquisition of products, goods, and services, through payroll deductions, such as: furniture, appliances, electronic equipment, cell phones, among others.
    1. Tax Purposes:
      • Issuing the corresponding tax invoice derived from the commercialization of IBM FURNITURE’s products and/or services to its clients, suppliers, distributors, and/or affiliates, in compliance with IBM FURNITURE‘s tax obligations.

In the event that you carry out an electronic transaction to comply with the obligations that we have or will have with you, we will use your personal data to contact you or send you the products or services.

Additionally, IBM FURNITURE will use your personal information for the following Secondary Purposes that are not necessary for the requested service but will allow us to provide you with better service:

    1. Marketing Purposes:

In order to inform you about IBM FURNITURE‘s commercial information, which includes carrying out marketing activities for its products or services, birthday greetings, changes to our products or services, requesting service quality evaluations, conducting internal studies on consumption habits, and any other promotional or related matter to IBM FURNITURE‘s products and/or services.

Specifically, IBM FURNITURE will carry out:

        • Marketing and dissemination activities in person and/or online (telemarketing and mailing of packages, discounts and/or new products of its products or services).
        • Telephone calls and sending emails for collections and payments, locating and verifying customer and/or employee information, confirming orders and purchase orders, shipments and packages, making clarifications, quotes, and promotions, sending and receiving tax invoices, scheduling appointments and after-sales service, as well as providing follow-up on projects and quotes.
        • Publication and posting on various social networks for contact and customer loyalty, agents and/or promoters.

If you do not wish for your personal data to be processed for these additional purposes, you may indicate so below:

    1.       In the case of the use of sensitive personal data, you can express your Right of Opposition if you so wish, so that your data and sensitive information are not treated in accordance with the purposes described above, you can indicate it below:

      Having indicated your intention, you agree to grant your Express Consent in writing, as established in article 9 of the Law, which is stated in section 11 of this Privacy Notice, and likewise, through the authorization signature in the Simplified Notice.

    2. It will collect and record digital video images of all persons entering the facilities, moving around and/or remaining inside and/or outside the facilities through entrance doors, hallways, premises, offices and common areas of IBM FURNITURE.

      These images will be captured by IBM FURNITURE‘s own video cameras which will remain in safekeeping and digital backup on the server and/or data center of the closed circuit video surveillance for a maximum storage period of 90 (ninety) calendar days, with the images and recordings being deleted at the end of this period of time (the time may vary and will be determined by the technical and physical capacity of the installed equipment).

      Images and/or recordings may be used for security purposes, both by IBM FURNITURE‘s authorized management staff, as well as by the operational security personnel on duty hired or who may be hired to provide the surveillance, security and custody service of IBM FURNITURE, personnel who must be aware at all times and who will be obliged to adhere to all the scope and legal and juridical  responsibilities of this Privacy Notice, which may not be ignored and/or waived.

  1. Transfer of Personal Data.

IBM FURNITURE may transfer the personal data of its operational staff to the following official institutions and government agencies, such as: Tax Administration Service (S.A.T.), Mexican Social Security Institute (I.M.S.S.), National Workers’ Housing Fund Institute (INFONAVIT), Retirement Savings System (AFORE), for the purposes of carrying out the corresponding labor procedures and administration, and will also do so with various banking institutions to make the corresponding payments.

As an essential process of the corporate purpose of IBM FURNITURE, we hereby notify you that the personal data of prospects and/or clients collected in credit applications, as well as in applications for contracting insurance policies (other providers) and other services, will be forwarded to the following official agencies:

    • INSTITUTO DE PENSIONES DEL ESTADO DE JALISCO (IPEJAL)

Likewise, IBM FURNITURE hereby notifies you that it will forward the personal data of the operational staff and the accounting information of the company to the public accountant CARLOS ALBERTO GOMEZ MENDIETA, for the performance of professional fiscal and financial accounting services; as well as the electronic stamping of the labor payroll and the preparation of fiscal invoicing in favor of IBM FURNITURE.

If IBM FURNITURE were to transfer your personal data to any of its current or future subsidiaries, internal personnel from other areas and/or third parties, in order to carry out the purposes of the processing established in this Privacy Notice, it will do so after entering into confidentiality agreements and provided that:

    1. The person or company to whom the personal data is transferred agrees to subject the processing of personal data to this Privacy Notice.
    2. It does not apply to any of the cases established in article 37 of the Law.

If you do not express your opposition to your personal data being transferred to third parties, it will be understood that you have given IBM FURNITURE your tacit consent for this purpose.

  1. Derechos de Acceso, Rectificación, Cancelación u Oposición (A.R.C.O.).

Pursuant to the provisions of the Law, you have the right to know what personal data IBM FURNITURE has about you, what it uses it for and the conditions of its use (Access). You also have the right to request the correction of your personal information if it is outdated, inaccurate or incomplete (Rectification), to have it deleted from the records or databases when you consider that it is not being used in accordance with the principles, duties and obligations set forth in the regulations (Cancellation), as well as to oppose the processing of your personal data for specific purposes (Opposition). These rights are collectively known and hereinafter as A.R.C.O. Rights.

For the exercise of any of the A.R.C.O. Rights, IBM FURNITURE offers you the following procedure:

    1. Office or Person in Charge of Personal Data Privacy.
      IBM FURNITURE has appointed Ms. Grecia Romina Ponce Luna as the person in charge of the processing and custody of personal data (hereinafter the Person in Charge), who will process your requests, address any questions you may have in this regard and promote the protection of personal data within IBM FURNITURE.

      For the above, the Person in Charge makes available to you the following forms of contact and receipt of information and related documentation:

    2. Request for Access, Rectification, Cancellation or Opposition.
      As the owner of your personal data, you may download, print and duly request our Request for the Exercise of ARCO Rights and expressly with your name and autograph signature you may deliver it in person to the person in charge of processing your data at the address assigned for this purpose, or you may send the request by email to IBM FURNITURE clearly indicating your request for access, rectification, cancellation or opposition, with respect to your personal data to the following email address: [email protected]

      Said request must contain, at least:

      •  Full name and address of the owner of the personal data, and some means to notify him/her and give him/her the corresponding response to his/her request.
      • Document(s) that officially prove the identity or legal representation of the owner of the personal data.
      • Clear and precise description of the request to exercise any of your ARCO Rights with respect to the personal data.
      • Any other element or document that facilitates the location of personal data
      • Indicate the modifications to be made and/or the limitations to the use of personal data, in accordance with the provisions of section 8.2 of this Privacy Notice.
      • Provide IBM FURNITURE with the request and the documentation that supports your request.

    3. Resolution and Communication.
      IBM FURNITURE will inform the owner of the personal data of the decision taken, within a period of no more than 20 (twenty) business days from the date the request was received. This period may be extended by IBM FURNITURE on a single occasion for an equal period, as long as the circumstances of the case justify it. Based on the above, and in accordance with the provisions of the Law,

      IBM FURNITURE will inform the owner of the personal data of the meaning and motivation of the resolution, by the same means by which the request was made, and will accompany said resolution with the relevant evidence, if applicable.

      When the request is appropriate, it will be made effective by IBM FURNITURE within 15 (fifteen) business days following the communication of the decision taken. Likewise, the owner may submit to the National Institute for Transparency, Access to Information and Protection of Personal Data (INAI) a request for data protection for the response received or for the lack of response from IBM FURNITURE. Said request must be submitted by the owner within 15 (fifteen) business days following the date on which the response is communicated to the owner by IBM FURNITURE, and will be subject to the provisions of the Law.

      In the case of requests for access to personal data, it will be necessary for the applicant, whether the owner or his legal representative, to previously prove his identity. The obligation to access information will be considered fulfilled when IBM FURNITURE makes the personal data available to the owner either by issuing simple copies or by electronic documents.

      In the event that a person requests access to personal data from IBM FURNITURE, assuming that he/she is the owner and/or the person responsible, and it turns out that he/she is not, it will be enough for IBM FURNITURE to inform the applicant by any means (of those established in the application form) in order to consider said request satisfied.

      The response to the request for access, rectification, cancellation or opposition of personal data will be completely free of charge. Only the costs justified by reasons of shipping or the cost for reproduction in copies or other formats must be covered, which IBM FURNITURE will inform you of at the time.

      In the event that the same person reiterates the request for access, rectification, cancellation or opposition of personal data in a period of less than 12 (twelve) months from the date of the last request, the response to his/her request may have an additional cost, which will be indicated by IBM FURNITURE, in accordance with the provisions of article 35 of the Law.

    4. Refusal to Access Personal Data.
      IBM FURNITURE may deny full or partial access to personal data or the rectification, cancellation or opposition to the processing of the same, in the following cases:

      • When the applicant is not the owner or the legal representative is not duly accredited to do so.
      • When the personal data of the applicant are not found in the IBM FURNITURE Database.
      • When the rights of a third party are violated.
      • When there is a legal impediment or resolution from an authority.
      • When the rectification, cancellation or opposition has been previously made, so that the request lacks subject matter.

    5. Consequences of Cancellation.

      The cancellation of personal data will result in a blocking period after which IBM FURNITURE will proceed to delete the personal data.

      Once the corresponding personal data has been cancelled, IBM FURNITURE will notify its owner. Once this has been done, IBM FURNITURE may retain the personal data exclusively for the purposes of the responsibilities derived from the treatment referred to in the Advertising Notice.

      When the personal data has been transmitted to third parties before the rectification or cancellation and these are treated by said third parties, IBM FURNITURE must inform them of the request submitted by the owner, so that they can proceed to make the corresponding rectifications or cancellations to the third parties involved.

      IBM FURNITURE will not be obliged to cancel your personal data when it is one of the cases established in article 26 of the Law.

      Likewise, when the information collected in the personal data is no longer necessary for the fulfillment of the purposes provided in this Privacy Notice and in the applicable legal provisions, the personal data will be cancelled from the IBM FURNITURE Databases.

  1. Acceptance or Revocation of Personal Data Processing.

In order for IBM FURNITURE to process personal data, IBM FURNITURE‘s clients, prospects, suppliers, distributors, affiliates and/or holders of personal data must give their express or tacit acceptance for such processing, which will be carried out by any of the following means:

    1. Acceptance through Electronic Means:

      1. Publication on IBM FURNITURE’s Internet Pages.
        IBM FURNITURE will publish this Privacy Notice on its Internet sites, so that, once you are aware of its content, you may grant or deny your consent for IBM FURNITURE to process your personal data.This will also apply if, for any reason, IBM FURNITURE does not have your email address or when your personal data is incorrect, out of date or obsolete and you cannot be located.

         

      2. Email.
        Based on the information that you provide or have provided, IBM FURNITURE will send you this Privacy Notice by email, so that, once you are aware of its content, you may grant or deny your consent for IBM FURNITURE to process your personal data.

    2. Acceptance or Rejection of the Privacy Notice by Electronic Means.Acceptance or rejection of the IBM FURNITURE Privacy Notice by electronic means will be carried out as follows:
      1.  IBM FURNITURE will send you the following information to the email address registered in your name:
        • The statement that the IBM FURNITURE Privacy Notice exists.
        • The content of the Privacy Notice and, where applicable, the modifications, updates, adjustments or changes made to said notice.
        • An electronic link through which you can accept or not accept the Privacy Notice, or the changes it may have.

      2. Once you have read and are aware of the content of the Privacy Notice, or of the changes made to it, you will have the following options:

        • Accept.
          By accepting, you grant consent and authorization for IBM FURNITURE to use your personal data in accordance with the processing purposes established in the Privacy Notice.

        • Do not accept.
          When you do not accept the content of the Privacy Notice or its modifications, deny or cancel your consent and authorization for IBM FURNITURE to use your personal data.

In this case, IBM FURNITURE will cancel and stop using your personal data for the processing purposes established in this Privacy Notice.

    1. Acceptance in a Personal Manner.

      When personal data is obtained personally from the owner, IBM FURNITURE will make this Privacy Notice available to you at the time your personal data is collected and in a clear and reliable manner, through the formats that IBM FURNITURE uses or may use for this purpose. In addition, through these formats, IBM FURNITURE will obtain the acceptance or denial of consent of the owner to subject said data to the processing purposes established in this Privacy Notice.

    2. Tacit Acceptance.
      Based on the provisions of article 8 of the Law, the content of this Privacy Notice, as well as any modification or addition to it, will be made known to you by any of the means established in sections 7.A and 7.B above, and if you do not express opposition to the content and scope thereof within a period of 30 (thirty) calendar days, counted from the date on which IBM FURNITURE informs you about the Privacy Notice or its modifications, it will be understood that you give your tacit consent for IBM FURNITURE to process your personal data based on the purposes of the processing established in the Privacy Notice.

    3. Retroactive Acceptance.
      For all our clients, prospects, suppliers, distributors, affiliates and/or holders of personal data who have provided us with their personal data prior to notification or publication of this Privacy Notice, either by filling out registration forms to obtain information or a quote for IBM FURNITURE products and/or services, or by any other form or means, they will be provided with the Privacy Notice in accordance with the provisions of sections 7.A and 7.B above, in order for them to grant or deny their consent (express or tacit) for IBM FURNITURE to continue or not to process their personal data based on the purposes of the processing established in the Privacy Notice.

  1. Limitation of Use or Disclosure of Personal Data.

    1. Actions to Prevent Unauthorized Use or Disclosure.
      In order to guarantee the protection of your personal data and limit the unauthorized use or disclosure thereof, IBM FURNITURE continuously performs and will perform the following actions:

      1. Confidentiality of Information.
        IBM FURNITURE will maintain confidentiality regarding the personal data collected from you, which will continue to exist even after the end of its commercial or other relations with the client or owner of said personal data.

      2. Notification of Confidentiality.
        In the event that, for any reason, IBM FURNITURE finds it necessary to provide your personal data to third parties (under the terms provided for in the Law or in this Privacy Notice), it will notify said third parties of the obligation to comply with the provisions established in the Law and the confidentiality of your personal data.

      3. Database Administration.
        Personal data is managed and protected through the use of databases, which are managed only by the persons designated by IBM FURNITURE for this purpose, without allowing their use, consultation, handling or access to unauthorized persons.

      4. Computing and Information Systems.
        Our Databases are protected by firewalls and computing and/or information systems focused on preventing and avoiding that persons other than IBM FURNITURE or unauthorized persons can access your personal data.

    2. Requests to Limit Use or Disclosure.

      In the event that you wish to limit the use or disclosure of your Personal Data, in relation to one or more of the purposes for which personal data is processed (such as, for example, advertising emails, birthday greetings, job offers, award presentations, among others), you may send the respective request in accordance with the procedure established in any of the sections of point 7.0 of this Privacy Notice, or by accessing the links that are loaded or may be loaded on the IBM FURNITURE web pages, or through the promotional information that we send you.

  1. Use of Tracking Technologies on Our Website.

We inform you that cookies, web beacons and other tracking technologies may be used or may be used in the near future on IBM FURNITURE websites, through which it is possible to monitor your behavior as an Internet user, as well as to provide you with a better service and user experience when browsing said sites.

IBM FURNITURE reserves the right to make changes or updates to this Privacy Notice at any time, to address legislative or jurisprudential developments, internal policies, new requirements for the provision or offering of the products and/or services offered, or due to commercial and privacy practices, changes in our business model, or for other reasons.

Therefore, IBM FURNITURE undertakes to keep you informed of such changes, and will do so through the forms and means established in the Privacy Notice.
